Associate Counsel


The Associate Counsel will provide legal advice on a range of business and regulatory issues, including but not limited to provider payment and contracting, credentialing, information system contracting, and member privacy. Support the General Counsel in managing and coordinating responses to litigation and to government audits and investigations. Participate in product development, implementation and management, which may include providing legal advice on products in the health insurance exchange.


 


Responsibilities:


·         Understand UCare's business operations and goals, and the regulations and government contract requirements affecting UCare's business.


·         Participate in committees and workgroups as appropriate, including but not limited to the Quality Improvement Advisory and Credentialing Council.


·         Advise the Provider Relations and Contracting Department on provider contract issues, and maintain and update provider contract templates consistent with current business and regulatory requirements.


·         Respond to requests for advice and proactively identify potential legal issues; conduct related research and analysis, and clearly communicate advice and recommendations, including options where appropriate.


·         Review, draft, and negotiate as appropriate, contracts with vendors, working with business leaders to address business goals and communicate legal risks; oversee the Paralegal in managing vendor contract files.


·         Support the Sr. Vice President & General Counsel in managing litigation, including working with outside counsel, determining strategy, and responding to discovery requests.


·         Work with the Paralegal in maintaining contract templates for vendors and delegates, including information systems licensing, purchase and maintenance agreements, and advise Paralegal in responding to variations from template language.


·         Advise the Compliance, Finance and Government Relations Departments regarding regulatory audits and investigations, as determined by the Sr. Vice President & General Counsel.


·         Provide legal guidance as appropriate to the HIPAA Privacy Officer and Security Officer, and to business leaders facing data privacy issues.


·         Provide legal services as otherwise determined by the Sr. Vice President & General Counsel.



Qualifications:


·         Law degree from accredited law school. License in good standing to practice in the State of Minnesota. Graduate or undergraduate degrees in health administration, health policy or business preferred.


·         At least five years experience as a practicing attorney focusing on health law and provider and/or health plan clients.


·         Knowledge of state and federal laws and regulations applicable to insurance and health maintenance organizations.


·         Knowledge of laws and regulations relating to Medicaid managed care and Medicare managed care.


·         Strong contract drafting and negotiation skills.


·         Ability to understand and contribute to business decision-making.


·         Excellent writing and oral communication skills.


·         Excellent analytical and problem-solving abilities.


·         Strong interpersonal skills and demonstrated ability to work in team environment.


·         Experience practicing law in a managed care environment, and advising clients on commercial insurance business and regulatory issues are also preferred.
