Job Title: Senior Corporate Counsel

Position Overview:
The Senior Corporate Counsel will provide legal assistance and advice to support
achievement of the company's business objectives while maintaining compliance with
all applicable laws and regulations.

Essential Functions:
Principle Accountabilities & Authorities:
• Provide advice and support company-wide on a variety of legal issues on a daily
basis in a timely and effective manner.
• Responsible for drafting filings and understanding requirements of the SEC and
other applicable corporate compliance regulations.
• Partners with other business functions to maintain Intellectual Property
compliance, specifically publicity rights, trademark and copyrights.
• Participates in the development and review of advertising copy.
• Particpates in due diligence for mergers and acquisitions and other transactions
including drafting and reviewing agreements.
• Prepares contracts, agreements and other documents for business transactions.
• Other duties as assigned.

Less than 10% travel required.

Career Path:
Associate General Counsel, General Counsel
Bachelor's degree (B.A.), or equivalent experience
J.D. degree and license to practice law.

• 6-10 years of legal experience required.
• Experience in an in-house legal positoin in retail, television, internet commerce
or home shopping envrionment preferred.
• Experience with mergers and acquisitions.
• Significant experience working with a public company, including drafting a variety
of SEC filings.
• Experience in Intellectual Property, specifically publicity rights, trademark and
copyright and drafting of related agreements.
• Prior exposure to advertising review and FTC compliance.
• Familiar with a wide variety of general corporate transactional work.

Physical Activity:
Talking: Expressing or exchanging ideas by means of the spoken work. Those
activities, which demand detailed or important instructions spoken to other workers
accurately, loudly or quickly.

Visual Demands:
Operators: This is a minimum standard for those whose job requires work done at
close visual range. (i.e. preparing and analyzing data and figures, clerical and
administrative functions, accounting, computer terminal use, extensive reading,
visual inspection, operation of machines, using measurement devices, assembly or
fabrication of parts.

Physical Requirements:
Sedentary Work: Exerting up to 10 pounds of force occasionally and/or negligible
amount of force frequently or constantly to lift, carry, push, pull or otherwise
move objects. Sedentary work involves sitting most of the time. Jobs are sedentary
if walking and standing are required only occasionally and all other sedentary
criteria are met.

None: Individual not substantially exposed to adverse environmental conditions -
