The Corporate Paralegal will support The Toro Company’s legal function with corporate activities and transactional matters, including corporate secretary team matters, legal functional management, and other general corporate activities.

Job Duties & Responsibilities:

  • Primary responsibility for a variety of Corporate Secretary team tasks, including:

    • Creation of Board meeting and Board committee meeting agendas, materials and other documents;

    • Serving as the point of contact for Board members for Board meeting matters;

    • Managing the Board member product purchase program;

    • Preparing minutes of Board meetings and Board committee meetings;

    • Planning, coordinating, and logistic management activities in connection with Board, Board committee, and shareholder meetings;

    • Coordinating deadlines with all Board and Board committee meeting presenters and reviewing materials submitted;

    • Performing general administrative tasks necessary to support the Corporate Secretary team, such as scheduling Board and Board committee meetings; planning and review meetings; data entry; and maintaining the Corporate Secretary team calendar and tasks;

    • Tracking Board and Board committee member attendance;

    • Reviewing Board committee Charters and Core Agendas and Corporate Governance Guidelines to ensure accordance with benchmarks and laws;

    • Supporting the Assistant General Counsel with proxy advisory firm matters;

    • Supporting the drafting and facilitating the filing of required NYSE and SEC documents; and

    • Maintaining the Diligent Board portal and serving as the point of contact for the Diligent team.

  • Provide support for Management Investment Committee, including drafting of meeting minutes.

  • Assist with merger, acquisition, divestiture and other transactional matters as directed by the Assistant General Counsel and/or Corporate Attorney, including, but not limited to, maintaining the transaction agreement files, monitoring post-closing deadlines and coordinating activities among the respective deal teams.

  • Involvement with general corporate matters including project management and tracking key deadlines.

  • Perform legal or other research on a variety of topics, including related to corporate governance, securities law, and M&A.

  • Facilitate Legal functional management activities and priorities, including as directed by General Counsel and Assistant General Counsel, including:

    • Annual plan, budgeting and quarterly processes for the Legal function;

    • Implement, maintain and monitor best practices for outside counsel billing arrangements, processes and engagement;

    • Serve as administer for legal billing system;

    • Process payment of external law firm or other Legal function invoices; and

    • Provide administrative support to the legal function as needed or as directed by General Counsel and Assistant General Counsel.

Job Qualifications:

  • Bachelor's Degree and Paralegal Certificate

  • At least 3 years of corporate paralegal experience required

  • Strong verbal and written communication skills

  • Highest level of integrity and business ethics

  • Excellent interpersonal skills, articulate and professional

  • Handle multiple assignments, work well under competing demands, and flexibility to assist team on priorities

  • Ability to proactively assume responsibility and consistently follow through on assignments

  • Attention to detail

  • Ability to maintain confidentiality

  • Ability to work independently as well as cross functionally and cross culturally

  • Proficiency in MS Office Suite required and Legal Tracker, ActiveDisclosure and Diligent preferred
